non disclosure agreement (NDA)

This Non-Disclosure Agreement ("Agreement") is entered into as of [                 ] by and between:

Disclosing Party: INTERNATIONAL FOREIGN INVESTMENTS, with its principal office located at 3808 WILLOWICK PARK DR, WILMINGTON, NC, 28409, UNITED STATES("Discloser"),

and

Receiving Party: [           YOUR COMPANY NAME           ], with its principal office located at [                YOUR COMPANY ADDRESS                                   ] ("Recipient").

1. Purpose The Recipient agrees to receive confidential information from the Discloser for the purpose of evaluating or undertaking a potential business relationship ("Purpose").

2. Definition of Confidential Information For purposes of this Agreement, "Confidential Information" includes all written, electronic, or oral information that the Recipient receives from the Discloser, including but not limited to, business strategies, marketing plans, customer lists, technical data, product ideas, contracts, financial information, and other proprietary information.

3. Obligations of the Receiving Party The Recipient shall:

• Keep the Confidential Information confidential and not disclose it to any third party without the prior      written consent of the Discloser.
• Use the Confidential Information solely to evaluate or engage in the Purpose.
• Take all reasonable precautions to protect the confidentiality of the Confidential Information.

4. Exclusions from Confidential Information Confidential Information does not include information that:

• Is or becomes publicly known  through no breach of this Agreement by the Recipient.
• Is received from a third party without breach of any obligation of confidentiality.
• Is independently developed by the Recipient without use of or reference to the Discloser’s Confidential Information.

5. Term This Agreement shall commence on the date first above written and shall continue in effect until the Confidential Information no longer qualifies as confidential or until terminated by either party with thirty (30) days written notice.

6. Return of Materials Any materials or documents that have been furnished by the Discloser to the Recipient shall be promptly returned by the Recipient, accompanied by all copies of such documentation, within thirty (30) days upon the termination of this Agreement.

7. No License Nothing in this Agreement grants the Recipient any rights in or to the Confidential Information except as expressly set forth herein.

8. Governing Law This Agreement shall be governed by and construed in accordance with the laws of [State/Country], without regard to its conflict of law principles.

9. Miscellaneous This Agreement constitutes the entire agreement between the parties regarding its subject matter. It supersedes all prior agreements and understandings, both written and oral, between the parties regarding its subject matter.
